Terms of Service

REEMIGA – Third-Party Manufacturing Terms & Conditions

Welcome to REEMIGA Life Science Pvt. Ltd. ("Reemiga", "we", "our", "us"). These Terms & Conditions ("Terms") govern all third-party manufacturing, private labelling, white labelling, custom formulation, packaging, and related services provided by Reemiga.

By engaging with our services, requesting quotations, approving artwork, or initiating production, you accept and agree to be bound by these Terms.

Scope of Services

Reemiga provides:

  • Including your name, address, billing address, shipping address, phone number, and emailThird-party manufacturing for cosmetics, skincare, haircare, and wellness products
  • White-label & private-label solutions
  • Custom formulation development
  • Packaging, labelling, and branding support
  • Quality testing & documentation (optional/add-on)l address.

These Terms apply to all services, quotations, sampling, production and deliveries made by Reemiga.

Minimum Order Quantity (MOQ)

  • MOQ varies by product type, packaging and formulation.
  • Custom formulations or specialised packaging may require higher MOQs.
  • MOQs must be met per product variant (e.g., fragrance, colour, size).

Pricing & Quotations

  • All quotations are valid for 7 days unless otherwise specified.
  • Prices may change due to raw material fluctuations or packaging availability.
  • Taxes, transportation, artwork charges, mould charges, testing fees, or special packaging costs are additional unless stated.
  • A quotation does not guarantee production until advance payment is received.

Payments & Billing

  • 100% advance payment is mandatory to start production.
  • Balance 50% must be cleared before dispatch.
  • No credit system is offered.
  • Payments must be made via approved modes only.
  • Orders, once confirmed with advance payment, are non-refundable.

Samples & Formulation

  • Sample development charges (if applicable) are non-refundable.
  • Revisions to samples may attract extra charges or extend timelines.
  • Base formulations developed by Reemiga remain Reemiga's intellectual property unless a formulation buyout is agreed in writing.

Artwork, Design & Packaging

  • Clients must provide print-ready artwork files in the required format.
  • Reemiga is not responsible for spelling mistakes, content errors, or design issues once the client approves the artwork.
  • Any delay in artwork submission or approval will delay production timelines.
  • Custom moulds or packaging tools (if any) remain the property of the supplier.

Manufacturing Timeline

  • Standard production timeline: 25–45 working days\u003cbr/\u003e(starts only after artwork approval & receipt of advance payment).
  • Timelines may vary based on:
    • Raw material availability
    • Packaging supply delays
    • Festive seasons / high production load
    • Regulatory/documentation requirements
  • Reemiga is not responsible for delays caused by third-party suppliers.

Quality Assurance

  • All products are manufactured under certified, compliant conditions.
  • If additional testing is requested (e.g., dermatology reports, stability, heavy metal tests), charges apply.
  • Reemiga is not liable for issues arising from client-selected packaging, ingredients, or unapproved modifications.

Shipping & Risk of Loss

  • Shipping charges are borne by the client unless otherwise agreed.
  • Once goods are handed over to the transport/logistics provider, risk and responsibility transfer to the client.
  • Reemiga is not liable for transit delays, damage, leakage, or loss.

Order Cancellation & Refunds

  • Orders cannot be cancelled once confirmed with advance payment.
  • No refunds are provided due to production planning, raw material procurement, and resource allocation.

Intellectual Property

  • Client logos, brand names, and creative assets remain client property.
  • Reemiga's formulations, processes, designs, or documents remain Reemiga's intellectual property unless purchased.
  • Reemiga may not use the client's brand or packaging for marketing without written consent.

Confidentiality

  • Both parties agree to maintain the confidentiality of formulations, pricing, artwork, and business information shared during the project.

Compliance & Regulatory Requirements

  • Reemiga follows relevant cosmetic regulations & manufacturing standards.
  • Certifications, licenses, or documents required for export or regulatory submission will incur additional charges.

Liability Limitations

Reemiga is not liable for:

  • Damages arising from misuse or incorrect storage of products
  • Client-provided packaging defects
  • Formulations altered by the client
  • Loss of profits or business losses
  • Delays due to external suppliers or force majeure events

Our total liability shall not exceed the total amount paid for the service related to the claim.

Indemnification

Clients shall indemnify and hold Reemiga harmless for any claims arising from:

  • Misuse of products
  • Unapproved claims made by the client on labels or advertisements
  • Any violation of regulatory labelling requirements by the client
  • Incorrect artwork provided by the client

Governing Law & Jurisdiction

All disputes shall be governed by and interpreted in accordance with the laws applicable in the jurisdiction where Reemiga is registered.

Courts in that jurisdiction shall have exclusive authority over any disputes.

Modifications to Terms

Reemiga reserves the right to update or modify these Terms at any time.

Updates will be posted on the website, and continued use of our services constitutes acceptance of revised Terms.
